Position Title: Legal Counsel
Work Location: Makati
Work Arrangement: Full Onsite | Monday - Friday

Role Summary:
Responsible for ensuring the organization operates within legal boundaries and maintains full compliance with applicable laws and regulations. This includes managing legal risks, overseeing compliance programs, and providing expert legal advice to senior management.

Key Responsibilities:

Legal & Risk Management (50%)

• Advise senior leadership on legal rights, risks, and developments.
• Lead risk management initiatives and oversee updates to the enterprise risk platform.
• Draft, review, and manage legal agreements and corporate records.
• Conduct legal research and support litigation strategy.
• Provide guidance on corporate actions and decisions.

Compliance Oversight (50%)

• Ensure compliance with all relevant laws, regulations, and directives.
• Develop and maintain a company-wide compliance handbook.
• Create audit plans and conduct periodic compliance reviews.
• Identify areas of risk and recommend corrective measures.
• Oversee government licensing and renewal processes.

Qualifications & Expectations:

• Minimum of 3 years of experience as a Lawyer, preferably has experience in Maritime Industry
• Strong knowledge of legal and regulatory frameworks.
• Skilled in risk assessment, legal drafting, and compliance audits.
• Excellent communication, analytical, and decision-making skills.
• Experience in corporate structures and governance.
• Reports to the Legal Head (functional) and COO (administrative); part of senior leadership

We are looking for an independent attorney / legal counsel to support business operations. The Attorney is primarily responsible for providing contract review, drafting, redlining, amending, and negotiation services to ARQ SME BDC in accordance with applicable policies and guidelines set by the clients.

**Duties & Responsibilities**:

- Intake of relevant contracts, documents, and other information in accordance with client procedures
- Analyze documents for relevance and completeness and collect legal data as needed
- Draft, review, redline, amend, and negotiate various commercial agreements such as, but not limited to, Loan Agreements, Mortgage Agreement, Share Security Agreement, Warrants, Non-Disclosure Agreements
- Communicate and coordinate effectively with the client’s in house counsel, and other business stakeholders
- Respond to contract related inquiries and prepare any related agreements
- matter
- Monitor, review and manage the status of certain agreements
- Perform quality review checks of the work product of other members of the team and provide feedback as necessary
- Perform such additional tasks that may be assigned
- Deep understanding of local financial companies regulatory environment; expertise in relevant areas of the law, including commercial, privacy, criminal, labor
- Representation in courts and in proceedings with administrative authorities

**Required Skills & Abilities**:

- Must be a member of Philippine BAR
- At least 5 year(s) of relevant working experience
- At least five (5) years of experience as an attorney drafting and negotiating a range of contracts, including NDA’s, commercial contracts, loan and security agreements
- Excellent skills in drafting, analyzing and communicating contractual terms to clients together with a high ability to influence and negotiate
- Ability to work in a dynamic environment and communicate effectively in an open manner
- Ability to work independently and willing to work on a hybrid set-up
- Amenable to start ASAP

The Senior Lead Legal Counsel is a senior level position responsible for providing legal counsel and support to aligned countries/geographies of responsibility. The overall objective of this role is to provide legal support, advice, and guidance across a broad range of practice areas, with respect to the local laws and regulations of the country or countries for which the Country General Counsel Group Manager is responsible.
This role is responsible for providing guidance, support, and legal advice on Citi's businesses and functions in PHILIPPINES/ASIA SOUTH. This role requires thorough understanding of the business needs and expectations, combined with a solid conceptual / practical grounding in the laws and regulations of the geographies in which we operate. Provides input into strategic decisions, exercising sound legal judgement to develop proactive, risk-appropriate, and commercially practical business-oriented solutions.
**In this role, you are expected to:**
+ In coordination with the Country Counsel team, provides legal advice and support to Country Business Management on legal, control function and regulatory matters associated with Citi's business activities and legal entities in the countries covered; ensures that Citi is appropriately addressing legal, regulatory, franchise and reputational risks in these countries
+ Supports strategic initiatives of the businesses and functions in countries covered by providing legal guidance and interpretations of relevant laws, rules, regulations, and industry practices, and advising business management on legal matters impacting the business
+ Responsible for coordinating the provision of internal and external legal support to Citi's local businesses in COUNTRY/GEOGRAPHY, working closely with the relevant Regional Product Counsel (or his or her designee) to ensure that Citi's legal needs are met in a cost-effective manner
+ Develops a broad understanding of Citi's businesses in the COUNTRY/GEOGRAPHY and of the major legal and regulatory risks facing those businesses
+ Ensures business decisions are made with appropriate legal advice and input by applying institutional knowledge against industry standard, widely accepted business practices, laws, rules, and regulatory guidelines, escalating as appropriate
+ Collaborates across internal lines of business and control/support functions to achieve coordinated and efficient outcomes on matters of common interest; coordinates closely with Legal team members, as appropriate
+ Advise (or arrange for the provision of legal advice by other internal or external counsel) business management on legal and regulatory risks affecting Citi's businesses in the PHILIPPINES/ASIA SOUTH, as well as franchise and reputational risks, to help ensure that Citi is appropriately addressing those risks
+ Provides legal advice to the Citi Country Officers and country management to support Citi's maintaining of good relations with local regulators and all other local regulatory bodies that are relevant to Citi business activities
+ Assures that key legal and regulatory developments that may impact or otherwise be relevant to Citi's businesses in the country, including those involving other financial institutions, are appropriately monitored and that country management is apprised of significant developments
+ Takes an active role in any relevant country-level or cluster-level governance committees as assigned, e.g., coordinating committee, business risk & controls committee, legal & compliance committee, legal vehicle management committee; act as lawyer providing support to the country in any matter.
+ Manages day-to-day legal activities as a subject matter expert in area of responsibility and provide senior advisory services to business partners
+ Appropriately assess risk when business decisions are made, demonstrating particular consideration for the firm's reputation and safeguarding Citigroup, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency, as well as effectively supervise the activity of others and create accountability with those who fail to maintain these standards
**As a successful candidate, you'd ideally have the following skills and exposure**
+ 10+ years of relevant industry experience, preferably in financial services and with litigation and employment law experience
+ Excellent leadership, interpersonal, organizational and relationship management skills
+ Excellent command of local languages
+ Proven ability to manage multiple assignments simultaneously in a demanding, fast-paced environment
+ Comprehensive knowledge of international, multi-jurisdictional laws and practices while staying abreast of regulatory and legal environment, internal policies and industry trends that impact the business
+ Effective communication and negotiation skills and ability to maintain trusted relationships
+ Membership of local Bar/Lawyers Association
Education:
+ Juris Doctorate or equivalent law degree
